Terms of service

These Terms of Service ("Terms") govern your use of Fixture and Finish, the website and software for organizing selections and procurement on custom home projects (the "Service"). By creating an account or using the Service, you agree to these Terms. If you agree on behalf of a company, you confirm you have authority to bind it.

1. Who You Are Contracting With

The Service is operated by Alex Villa, doing business as Fixture and Finish, at 6801 Granby Street, Bethesda, MD 20817. "We", "us", and "our" refer to that party. If the business is later reorganized as a legal entity, these Terms transfer to it under section 13.

2. Who May Use the Service

You must be at least 18 years old. The Service is built for business use by builders, designers, architects, and their clients and trade partners, and is not intended for personal or household purposes.

3. Accounts

You need an account to use most of the Service. You are responsible for the accuracy of the information you provide, for keeping your credentials secure, and for everything done under your account. Tell us promptly if you believe someone else has gained access to it.

An account belongs to the business that created it. Owners and admins may invite, remove, and change the roles of other members, and may see the work those members do in the account.

4. Your Content

You keep ownership of everything you put into the Service: your projects, rooms, items, selections, images, documents, prices, and notes ("Your Content"). We claim no ownership of it.

You grant us a limited license to host, store, copy, transmit, and display Your Content solely to operate the Service for you, including generating the exports, share links, and specification packages you ask for. We may also produce aggregated, de-identified statistics about how the Service is used. We do not use Your Content to train machine learning models, and we do not sell it. This license ends when you delete the content or close your account, except for copies held briefly in routine backups.

You are responsible for having the rights to what you upload, including product images and documents supplied by manufacturers, vendors, or clients.

5. Acceptable Use

You agree not to:

  • Use the Service to break the law, infringe someone's rights, or send unsolicited messages.
  • Attempt to access accounts, data, or systems that are not yours.
  • Probe, scan, or disrupt the Service, or work around its rate limits and access controls.
  • Scrape or bulk-extract data from the Service other than through features we provide for that purpose.
  • Rebrand or resell the Service to third parties as a standalone product.

For the avoidance of doubt, the Service is meant to be shared in the ordinary course of a project. Inviting team members, subcontractors, vendors, and clients, sending them share links, and giving them exports and specification packages are all normal permitted use, not resale.

6. Plans, Billing, and Cancellation

Paid plans are billed in advance on the interval shown at checkout and renew automatically until cancelled. Payments are processed by Stripe under its own terms; we do not receive or store your card details. Prices are exclusive of taxes, and you are responsible for any sales or use tax that applies. We will give notice before a price change affects a renewal.

If a payment fails we may retry it and, after notice, suspend paid features until the balance is settled. You can cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period and the Service remains available until then. Except where the law requires otherwise, fees already paid are not refunded.

7. Third-Party Services and AI Assistants

The Service works alongside third parties, including payment processing, email delivery, file storage, and product pages we fetch on your behalf when you import a selection from a link. Those providers have their own terms, and we are not responsible for their services.

You may choose to connect an AI assistant to your account. Doing so authorizes that assistant's provider to receive the project data your account can reach, and that data is then handled under that provider's terms and privacy policy rather than ours. We do not control the provider's model, how it processes what it receives, or how long it retains it, so review their terms before connecting.

Within the Service, a connected assistant can read what your account can reach and propose changes, such as adding a product to an item as an option. Anything it proposes stays pending until you approve it in Fixture and Finish. You may disconnect an assistant at any time, and you are responsible for what you approve.

8. Availability and Changes

We work to keep the Service available and dependable, but we do not promise uninterrupted access. We may add, change, or remove features, and we will avoid making changes that materially reduce what a paid plan provides without telling you first.

9. Suspension and Termination

You may stop using the Service and close your account at any time. We may suspend or close an account that breaches these Terms, that puts the Service or other customers at risk, or that goes unpaid. Where circumstances allow, we will contact you first and give you a chance to put things right.

You can export your data at any time while your account is active, in the formats the Service provides, currently CSV and PDF. For 30 days after an account closes you may email us to request a copy. After that we delete or anonymize account data, except where we must keep records to meet a legal obligation.

10. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind to the fullest extent the law allows. Fixture and Finish helps you organize decisions. It does not verify product availability, pricing, lead times, or fitness for a particular project, and it is not a substitute for professional judgment. Prices, specifications, and delivery dates come from you, from vendors, and from pages we fetch, and can be wrong or out of date. Confirm anything that matters directly with the supplier before ordering.

We are not architects, engineers, contractors, or design professionals, and nothing in the Service is architectural, engineering, construction, or legal advice. Compliance with codes, permits, and contracts remains yours.

11. Your Indemnity

You agree to defend and indemnify us against claims, damages, and reasonable costs arising from Your Content, from your use of the Service in breach of these Terms or the law, or from a third party's claim that something you uploaded infringes their intellectual property or privacy rights. We will tell you promptly about any such claim and let you control the defense, provided any settlement releases us fully.

12. Limitation of Liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages, or for lost profits, lost data, or costs arising from ordering errors, delays, or reliance on information in the Service. Our total liability for all claims relating to the Service is limited to direct damages not exceeding the greater of the amount you paid us in the twelve months before the claim arose, or one hundred United States dollars.

13. Assignment

You may not assign or transfer these Terms without our written consent. We may assign them to a successor in connection with a reorganization, merger, or sale of the business or its assets, including to a legal entity later formed to operate the Service.

14. Survival

Sections 4 (Your Content), 10 (Disclaimers), 11 (Your Indemnity), 12 (Limitation of Liability), and 15 (Governing Law and Venue) survive the closure of your account and any termination of these Terms.

15. Governing Law and Venue

These Terms are governed by the laws of the State of Maryland, without regard to its conflict of laws rules. Any dispute will be brought exclusively in the state or federal courts located in Montgomery County, Maryland, and both parties consent to the jurisdiction of those courts.

16. Changes to These Terms

We may update these Terms as the Service changes or the law requires. We will post the revised Terms here with a new date, and give notice of significant changes before they take effect. Continuing to use the Service after that means you accept the revised Terms.
